Terms & Conditions

1. Introduction
These Terms and Conditions (“Terms”) govern all sales and transactions between CleanCore Solutions, Inc. (“Seller”) and the buyer (“Buyer”) regarding wholesale purchases. By placing an order, Buyer agrees to be bound by these Terms.

2. Eligibility
Wholesale purchasing is restricted to registered businesses. Buyer warrants that all information provided during the registration process is accurate and complete and agrees to notify Seller of any changes to such information.

3. Orders
All orders placed by Buyer are subject to acceptance by Seller.  Seller reserves the right to refuse or cancel any order at its sole discretion, including but not limited to instances of pricing errors or unavailability of products.

4. Pricing
All prices are subject to change without prior notice. Prices are quoted in USD and exclude applicable taxes, shipping, and handling fees unless otherwise specified in writing.

5. Payment Terms
Payment shall be due within 30 days from the invoice date unless otherwise agreed in writing. Seller reserves the right to assess a late fee of 1.5% on overdue accounts.

6. Shipping and Delivery
Seller shall use commercially reasonable efforts to ship orders promptly. Delivery dates provided by Seller are estimates only and shall not be deemed to be guaranteed. Title and risk of loss shall transfer to Buyer upon delivery to the shipping carrier.

7. Returns and Exchanges
Buyer may return products within 60 days of receipt, provided that the products are unused and in their original packaging. A restocking fee of 10% may apply to all returned merchandise.

8. Intellectual Property
All trademarks, service marks, and trade names used by Seller, as well as all content and materials provided, are the property of Seller or its licensors. Unauthorized use is strictly prohibited.

9. Limitation of Liability
In no event shall Seller be liable for any indirect, incidental, special, or consequential damages arising out of or related to the sale of products, even if Seller has been advised of the possibility of such damages. Buyer’s sole remedy for any claim arising under these Terms shall be limited to the purchase price of the products at issue.

10. Amendments
Seller reserves the right to amend these Terms at any time. Notice of such amendments will be provided via the Seller’s website. Continued use of the services after such changes constitutes acceptance of the amended Terms.

11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Nebraska, without regard to its conflict of laws principles.
